These Terms of Sale ("Terms") govern all purchases made on the website oeaparis.com ("the Website"). The Website is operated by D&K PARTNERS S.A.S (operating as OEA PARIS).

By placing an order on the Website, you confirm that you have read, understood, and agreed to these Terms in full. The applicable Terms are those in force at the time of order confirmation.

Brand Licensing Disclosure

The trademark "OEA" and the logo "OEA PARIS" are owned by GFFF Corp. (GFFF Co., Ltd.), a Korean company headquartered at 2F, 217-7, 39, Dasan-ro 29-gil, Jung-gu, Seoul, Republic of Korea (Business Registration Number: 322-81-03570). D&K PARTNERS operates these trademarks under a formal Trademark License Agreement.

The "OEA" trademark is registered under Korean applications 40-2025-0240078 (Class 25) and 40-2025-0240079 (Class 35), with international filings under the Madrid Protocol.


ARTICLE 2 — PURPOSE AND ACCEPTANCE

2.1 Purpose

These Terms define the conditions under which OEA PARIS sells fashion products to consumers through the Website. They apply exclusively to B2C transactions (business-to-consumer sales to individual customers). Wholesale, B2B, or reseller inquiries should be directed to info@oeaparis.com.

2.2 Acceptance

By completing an order on the Website, you (the "Customer") expressly and unreservedly accept these Terms in their entirety. Placing an order constitutes formal acceptance, in accordance with Article L221-13 of the French Consumer Code.

2.3 Modification

D&K PARTNERS reserves the right to modify these Terms at any time. The version applicable to your order is the one in effect on the date of your order confirmation. Modifications do not apply retroactively to existing orders.

2.4 Capacity to Contract

To place an order, you must be at least 18 years of age (or have parental consent if a minor in your jurisdiction), have legal capacity to enter binding contracts, provide accurate information, and act as a consumer (not for resale).


ARTICLE 3 — PRODUCTS

3.1 Product Information

Products are described and presented as accurately as possible. Slight variations in color, texture, or appearance may occur due to screen calibration, lighting conditions, or natural variations in materials. Such variations do not constitute a defect.

3.2 Quality Assurance

All OEA-branded products are subject to a full quality inspection (100% Total Inspection) at our Korean fulfillment center prior to shipping, in accordance with our supply agreement with GFFF Corp. For curated third-party brand products (K-Curation), quality verification is limited to apparent defects and authentic appearance.

3.3 Availability

Product offerings are valid while stocks last. In case of unavailability after order confirmation, the Customer will be notified within 48 hours and refunded in full within 14 days.

3.4 Product Compliance

All products comply with European Union safety and labeling regulations. Care instructions, material composition, and country of origin are provided on each product page.


ARTICLE 4 — PRICES

4.1 Currency and Markets

  • European Union: EUR (€) — VAT inclusive
  • United Kingdom: GBP (£) — VAT inclusive
  • United States: USD ($) — DDP (duties included)
  • Other countries: USD ($) — taxes and duties as applicable

4.2 Price Display

All prices on the Website include the product price, applicable VAT, and (for DDP markets) import duties. Shipping costs are calculated and displayed separately at checkout.

4.3 Price Changes

Prices may change at any time without prior notice. However, the price applicable to your order is the one displayed at the moment of order confirmation.

4.4 Currency Exchange

For purposes of this contract, the applicable exchange rate is the one in effect at the time of the order. This rate applies to:

  • The order value calculation
  • Any refund processing (refunds are calculated based on the order-time exchange rate, regardless of subsequent rate variations)

4.5 Promotional Codes

  • One promotional code per order unless otherwise specified
  • Promotional codes cannot be combined with other offers
  • Promotional codes have expiration dates and conditions
  • D&K PARTNERS reserves the right to cancel orders using fraudulently obtained codes


ARTICLE 5 — ORDER PROCESS

5.1 Order Steps

  1. Browse and add products to cart
  2. Review cart and proceed to checkout
  3. Enter shipping information
  4. Select shipping method
  5. Select payment method and enter payment details
  6. Review order summary (the "Double Click" rule under French law)
  7. Confirm order by clicking the final purchase button
  8. Receive order confirmation email

5.2 Order Confirmation

After successful payment, you will receive an order confirmation email. This confirmation constitutes the formation of the sales contract between you and D&K PARTNERS, in accordance with Article L221-14 of the French Consumer Code.

5.3 Order Refusal

D&K PARTNERS reserves the right to refuse or cancel any order in the following cases:

  • Stock unavailability
  • Suspicion of fraudulent activity
  • Failed payment verification
  • Suspected resale or commercial activity
  • Customer history of abusive returns or unjustified disputes
  • Incomplete or incorrect shipping information
  • Destination country not served
  • Suspected violations of these Terms

In case of refusal, the customer will be informed within 48 hours and refunded in full if payment was processed.

5.4 Order Tracking

Once your order is shipped, you will receive a separate email with carrier name, tracking number, tracking link, and estimated delivery date.


ARTICLE 6 — PAYMENT

6.1 Accepted Payment Methods

  • Credit and debit cards: Visa, Mastercard, American Express, Cartes Bancaires
  • Digital wallets: Apple Pay, Google Pay, Shop Pay, PayPal Wallet
  • Local methods (where available): Bancontact (Belgium), iDEAL (Netherlands)

6.2 Payment Security

All payment transactions are processed through Shopify Payments, which is PCI DSS Level 1 certified. Payment information is encrypted using industry-standard SSL/TLS protocols. D&K PARTNERS does not store your full credit card information.

6.3 3D Secure Authentication

In accordance with PSD2 (Payment Services Directive 2) and Strong Customer Authentication (SCA) requirements, certain transactions may require additional authentication via 3D Secure 2.0.

6.4 Payment Capture

Payment is captured automatically at the time of order confirmation. The amount debited corresponds to the total order amount including products, taxes, duties (where applicable), and shipping.

6.5 Failed Payments

If payment fails, your order will not be processed and no amount will be debited from your account. You may retry with a different payment method.

6.6 Fraud Prevention

D&K PARTNERS uses Shopify's automated fraud analysis tools to detect suspicious transactions. We may hold orders for manual review, request additional verification, cancel high-risk orders, or refuse service to repeat offenders.


ARTICLE 7 — DELIVERY

7.1 Shipping Origins

OEA PARIS operates two fulfillment centers:

  • Paris, France (D&K PARTNERS warehouse) — serves EU, UK, MENA, Canada, Switzerland, Norway
  • Seoul, South Korea (via GFFF Corp., our fulfillment partner) — serves US, Japan, Singapore, Hong Kong, Taiwan, Australia, New Zealand, South Korea, Thailand

7.2 Delivery Times

Estimated delivery times from order confirmation:

  • France: 2-4 business days
  • European Union: 3-6 business days
  • United Kingdom: 4-7 business days
  • United States: 4-7 business days (from Seoul, DHL Express)
  • Asia / Oceania: 4-7 business days
  • Other destinations: 7-14 business days

These timeframes are indicative. Delays caused by carriers, customs, weather, strikes, or force majeure do not constitute grounds for cancellation or compensation.

7.3 Delivery Failures

  • Incorrect address by Customer: Customer bears cost of return and reshipment
  • Customer absence: Carrier follows standard procedure (notice, pickup, second attempt)
  • Unclaimed packages: Customer refunded for product price minus shipping costs

7.4 Transfer of Risk

Risk of loss or damage transfers to the Customer upon delivery. For visible damage, the Customer must note reservations on the delivery receipt, photograph the damage, and contact info@oeaparis.com within 48 hours.

7.5 Customs and Import Duties

For destinations outside the EU:

  • DDP (Delivered Duty Paid) markets (e.g., US): All duties and taxes included in the displayed price
  • Non-DDP countries: Customer responsible for any local import duties, taxes, or customs fees

D&K PARTNERS provides all required documentation (commercial invoices, certificates of origin where applicable) to facilitate smooth customs clearance.

7.6 Korea-US Free Trade Agreement

Orders shipped from our Seoul fulfillment center to the United States benefit from the Korea-US Free Trade Agreement (KORUS FTA), providing preferential tariff treatment.


ARTICLE 8 — RIGHT OF WITHDRAWAL (14-DAY RETURN)

8.1 Statutory Right

In accordance with Articles L221-18 to L221-28 of the French Consumer Code, you have a legal right to withdraw from your purchase within 14 days of receiving your order, without giving any reason.

8.2 Withdrawal Period

The 14-day period starts from the day you (or a third party designated by you) receive the goods. For multi-package orders, from the day you receive the last package.

8.3 How to Exercise the Right of Withdrawal

Notify us of your decision by email at info@oeaparis.com with your order number and withdrawal decision. You may also use the model withdrawal form provided in Annex I.

8.4 Effects of Withdrawal

  • You must return the goods within 14 days of notification
  • Return shipping costs are at your expense (or deducted from refund if using our prepaid label)
  • We refund all payments received (excluding shipping costs and prepaid label fees) within 14 days of receiving the returned goods
  • Refund made via the original payment method

8.5 Exceptions

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to:

  • Personalized or custom-made products
  • Sealed products that cannot be returned for hygiene or health reasons after being unsealed
  • Gift cards
  • Products explicitly marked as "Final Sale"

8.6 Refund Calculation

Refund amounts are calculated based on the exchange rate at the time of the original order. Currency fluctuations between purchase and refund do not affect the refunded amount.

ARTICLE 9 — LEGAL WARRANTIES

9.1 Legal Guarantee of Conformity

In accordance with Articles L217-3 to L217-17 of the French Consumer Code, D&K PARTNERS is liable for any lack of conformity for a period of 2 years from delivery.

If the product is non-conforming, you may choose between repair, replacement, price reduction, or full refund (in case of serious non-conformity).

9.2 Legal Warranty Against Hidden Defects

In accordance with Articles 1641 to 1649 of the French Civil Code, D&K PARTNERS is liable for hidden defects that render the product unfit for its intended use. Action must be brought within 2 years from discovery.

9.3 How to Claim Warranty

  • Contact info@oeaparis.com with order number, photos of the defect, and description
  • D&K PARTNERS will assess and respond within 5 business days
  • If accepted, return shipping costs are covered by D&K PARTNERS


ARTICLE 10 — LIABILITY

10.1 General Liability

D&K PARTNERS is responsible for the proper execution of the obligations resulting from these Terms but cannot be held liable for non-performance due to fault of the Customer, acts of a third party, or force majeure events.

10.2 Force Majeure

Events of force majeure include but are not limited to: natural disasters, wars, terrorism, strikes, government actions, pandemics, supply chain disruptions, internet outages, and carrier interruptions.

10.3 Limitation of Liability

To the maximum extent permitted by applicable law, D&K PARTNERS' total liability for any claim shall not exceed the total amount paid by the Customer for the order giving rise to the claim.

10.4 Indirect Damages

D&K PARTNERS shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profit or moral damage.


ARTICLE 11 — APPLICABLE LAW AND DISPUTE RESOLUTION

11.1 Applicable Law (Consumer Sales)

Sales contracts entered into through this Website with consumers in the European Union are governed by French law, without prejudice to the application of mandatory consumer protection provisions of the customer's country of residence.

11.2 Pre-Litigation Resolution

In case of dispute, the Customer must first contact D&K PARTNERS at info@oeaparis.com. We commit to responding within 5 business days.

11.3 Consumer Mediation

In accordance with Article L612-1 of the French Consumer Code, in case of unresolved dispute, the Customer may resort to a consumer mediator free of charge.

The Customer may also use the European Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr/

11.4 Competent Jurisdiction

For consumers residing in the European Union, the competent courts are determined by applicable law, typically those of the consumer's residence. For consumers residing outside the EU, the competent courts are those of Paris, France.

11.5 Language

These Terms are drafted in English. In case of translation discrepancy, the English version shall prevail.


ARTICLE 12 — PERSONAL DATA

The processing of personal data is governed by our Privacy Policy, which complies with GDPR (EU Regulation 2016/679) and the French Data Protection Act.

ARTICLE 13 — MISCELLANEOUS

13.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.2 Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and other policies referenced herein, constitute the entire agreement between you and D&K PARTNERS regarding the purchase of products through the Website.

13.3 No Waiver

The failure of D&K PARTNERS to enforce any provision shall not constitute a waiver.

13.4 Assignment

You may not assign your rights under these Terms without prior written consent from D&K PARTNERS. D&K PARTNERS may assign these Terms in connection with a merger, acquisition, sale of assets, or as provided under our license agreement with GFFF Corp.
